These Terms of Service (“Terms”) govern your access to and use of the websites operated by OpenCityUSA LLC, including OpenCityRecord.org, OpenUtah.org, the family of [State]Record.org platforms, and all associated city subdomains (collectively, the “Service”). OpenCityUSA LLC is a civic intelligence and transparency company.

1. Acceptance of Terms

By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

OpenCity provides searchable, AI-generated transcripts of public government meetings, synchronized video playback, issue tracking, development activity feeds, email alerts, and related civic information tools. The underlying video and document content is sourced from official city and state public records.

3. Important Disclaimers

  • AI-Generated Content: Transcripts, summaries, speaker labels, and extracted agenda items are produced by artificial intelligence and may contain errors, omissions, or inaccuracies. They are provided for convenience and transparency only.
  • Not an Official Record: The Service is not an official government publication. Always refer to the original video recording and official city minutes or agendas for authoritative information.
  • The accuracy, completeness, and timeliness of source videos and documents are the responsibility of the originating public body, not OpenCity.
  • We may add, remove, or change features at any time without notice.

4. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to scrape, bulk-download, or reverse-engineer the Service beyond normal browser use.
  • Interfere with or disrupt the Service or the servers and networks connected to it.
  • Impersonate any person or entity or misrepresent your affiliation.

5. Intellectual Property

The design, code, and compilation of the Service are owned by OpenCity or its licensors. Public meeting content (video, audio, and official documents) remains the property of the respective government entities and is generally in the public domain or used under applicable open records laws.

6. Third-Party Services

The Service embeds or links to YouTube (Google), city websites, search providers, email platforms, and other third-party services. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices of third parties.

7. Limitation of Liability & Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPEN CITY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Governing Law & Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws principles. Any legal action arising out of or relating to these Terms must be brought exclusively in the state or federal courts located in the State of Utah.

9. Changes to These Terms

We may revise these Terms at any time. The “Effective” date above will be updated. Continued use of the Service after changes constitutes acceptance of the revised Terms.
